Through its three complementary brands, the Group reaches a wide range of communities and market segments across the high-end fashion industry, from ZEGNA’s timeless luxury to the modern tailoring of Thom Browne, to luxury glamour with TOM FORD FASHION.The Ermenegildo Zegna Group is internationally recognized for its unique Filiera, owned and controlled by the Group, which is made up of the finest Italian textile producers fully integrated with unique luxury manufacturing capabilities, ensuring superior excellence, quality, and innovation.YOUR MISSION IN THIS ROLEAs Group Corporate Affairs Specialist, based in Milan, you will help us providing legal advice and support on a wide range of corporate and business issues.You’ll work closely with Head of Group Corporate Affairs to drive meaningful results and shape the way we work and grow.More specifically you will:Carry out corporate governance activities and complete timely regulatory filings across the organization, providing support to local functions in drafting and reviewing board materials and minutes, shareholder resolutions, maintaining and ensuring the update of corporate records and generally, discharge all customary tasks of the company secretariat for the group companies worldwide autonomouslyOrganize and implement amendments to the corporate governance structure and Board composition of Group entitiesProactively manage the internal corporate governance digital platformWorking closely with the Group Compliance Manager for the definition and implementation of the architecture of delegation of powers across the GroupAdvise various departments and management on corporate legal matters including management of legal entities, national and cross-border ventures, corporate investments, conducting legal research and assessing and managing legal risks associated with business operations and transactionsSupport for establishment and dissolution of branches, subsidiaries, joint-ventures, capital increase or decrease and other extraordinary transactions (such as mergers, demergers, acquisitions, transfer of business units)Manage corporate contracts lifecycle (negotiation, conclusion, follow-up of execution, renewal, termination) and draft, review, and negotiate letters of intent, agreements and other legal documents in the field of corporate investmentsSupport in the preparation of the main periodical reports and governance fulfilments/procedures, including management of Insider Trading List, Related Party Register.WHO YOU AREYou bring 3-5 years of experience in corporate law, acquired in law / notary firms or structured corporate groups, with “nice-to-have” experience with listed entities and familiarity with cross-border operations for companies with global operations.You have a Master’s Degree in Law and admission to the Italian Bar.You have a solid knowledge of corporate law and contract law, proficiency in legal research and drafting, and familiarity with standard financial concepts of corporate finance.You are known as collaborative team player with strong autonomy, agility and openness to digital enablers, excellent business sense and problem-solving approach,
with strong attention to detail and precision and capacity to raise relevant legal questions.You work effectively under tight deadlines and to handle multiple projects with different deadlines simultaneously.You adapt fast to a wide range of different national regulations in an international context.You are curious and eager to learn.You communicate fluently in Italian and English, with outstanding written and verbal communication abilities.WHAT WE OFFERThe position provides for a base salary between 45.000 EUR and 55.000 EUR.Remuneration is determined on objective criteria, regardless of gender.Within the base salary range, individual pay is determined by knowledge, skills, experience, tenure and relevant education or training.The position includes a benefits package consisting of variable premio, meal vouchers, private health insurance, a company mobile phone, a supplementary pension plan, and access to an employee welfare program with associated discounts and perks.JOINING ERMENEGILDO ZEGNA GROUPJoining us means becoming part of a Group rooted in a rich heritage and guided by a long-term vision.
