Michael Page - M&A; and Investments - Support the legal aspects of acquisitions, disposals, JV and strategic investments. - Manage legal due diligence processes and coordinate external counsel. - Draft,reviewandnegotiatetransactiondocumentation,including: - NDAs - LOIs - Share Purchase Agreements (SPA) - Shareholders' Agreements (SHA) - Investment Agreements - JV Agreements - Assist transaction teams throughout deal execution and closing. - Corporate Governance - Provide legal support on governance matters for portfolio companies and investment vehicles. - Prepare and review corporate documentation, board resolutions and shareholders' resolutions. - Support directors and senior management on corporate law matters. - Commercial & Project Development - Draft and negotiate a wide range of commercial contracts. - Support the development and operation of infrastructure and energy projects. - Advise on EPC, O&M;, development, framework and service agreements where relevant. - Assist business teams in structuring strategic partnerships and commercial arrangements. - Regulatory and Risk Management - Monitor legal and regulatory developments affecting infrastructure, energy and digital assets. - Identify legal risks and propose practical mitigation measures. - Ensure legal compliance across projects and investments. - Stakeholder Management - Liaise with business teams, investment professionals, finance, tax and external advisors. - Manage relationships with leading international law firms and other professional advisors. - Support cross-functional projects involving multiple jurisdictions. Experience - Law degree with excellent academic credentials. - Qualified lawyer in a European jurisdiction preferred. - Approximately 5-8 years of post-qualification experience. - Experience gained within:
- top-tier law firms; and/or - investment platforms; - infrastructure funds; - energy companies; - digital infrastructure operators; - multinational corporate legal departments. - Demonstrated experience in M&A; and corporate transactions. Preferred Sector Exposure - Infrastructure - Energy and energy transition - Renewables - Digital Infrastructure - Data Centers - Telecommunications - Transportation and mobility assets Technical Skills - Strong knowledge of corporate and commercial law. - Experience in domestic and cross-border transactions. - Ability to manage multiple workstreams simultaneously. - Excellent drafting and negotiation skills. - Ability to provide pragmatic, business-focused legal advice.
