Experteer Overview

As Group Corporate Affairs Specialist in Milan, you provide legal advice across corporate and business issues and work with the Head of Group Corporate Affairs to shape governance and growth. You manage corporate governance activities, board materials, regulatory filings, and governance records, while supporting the group secretariat. You collaborate on amendments to governance structure, Board composition, and the delegation of powers across the Group, including cross-border matters. You also oversee the contracts lifecycle and support extraordinary transactions such as mergers, acquisitions, and restructurings, contributing to scalable governance and compliance.

- Manage corporate governance activities, regulatory filings, and board materials for group companies
- Organize amendments to governance structure and Board composition
- Oversee the internal corporate governance digital platform
- Support definition and implementation of delegation of powers across the Group
- Advise on corporate legal matters including entities,



cross-border ventures, and corporate investments
- Support establishment/dissolution of branches, subsidiaries, JVs, and extraordinary transactions (M&A;, demergers, transfers)
- Manage corporate contracts lifecycle and draft/negotiate legal documents
- Prepare periodic governance reports and manage Insider Trading List and Related Party Register

Responsabilità
- 3/5 years of experience in corporate law
- Master's Degree in Law and admission to xysqume the Italian Bar
- Solid knowledge of corporate and contract law, legal research and drafting
- Experience with cross-border operations and ideally with listed entities
- Strong autonomy, collaboration, and problem-solving abilities; ability to work under tight deadlines
