Legal Senior – IP & Technology Contracts

Within the Agorai Innovation Hub we are looking for a Legal Senior – IP & Technology Contracts .
Key responsibilities of the role will include:
- Drafting, reviewing, and negotiating technology and commercial contracts, including software development agreements, technology partnerships, and joint development arrangements.
- Advising on intellectual property and industrial property matters, including patents, software protection, trade secrets, and trademarks, ensuring the company’s IP assets are properly identified, registered, and safeguarded.
- Drafting and negotiating service agreements, joint venture contracts, and partnership frameworks.
- Managing technology transfer and licensing transactions, both inbound and outbound, covering patent licenses, know-how transfer agreements, and contact research agreements with third party institutions and corporate partners.
- Providing legal support on AI-related matters, including compliance with the EU AI Act, data governance frameworks, and ethical AI guidelines applicable to the company’s research and development activities.
- Liaising with external counsels assisting the company.
- Monitoring legislative and regulatory developments in the fields of intellectual property, AI regulation, data protection, and technology law, proactively advising internal stakeholders on their implications.
- Collaborating cross-functionally with Technology and R&D; dept, and business development teams to ensure legal compliance and contractual best practices across all technology-related initiatives.
- Supporting, to the extent necessary, corporate governance activities, including preparation and review of board resolutions, shareholders’ meeting documentation, and corporate filings, in coordination with the Head of Legal & Corporate Affairs
The role is based in Trieste and includes a hybrid work model, offering flexibility through remote working days.
Requirements
Our ideal candidate will meet the following requirements:
- Qualified Italian lawyer (Avvocato) with 5–7 years of post-qualification experience (PQE), with expertise in intellectual property law, technology contracts, or a combination of both, gained at a leading law firm and/or in-house legal department, preferably of a technology or innovation-driven company.
- Law degree (Laurea Magistrale in Giurisprudenza) from a recognised Italian or European university; an LL.M. or advanced qualification in Intellectual Property, Technology Law, or Innovation Law is a plus.
- Proven expertise in drafting and negotiating technology, software licensing, and IP-related agreements in both Italian and English.
- Solid knowledge of Italian and EU intellectual property legislation (including the Codice della Proprietà Industriale, EU Patent Package, Software Directive, Trade Secrets Directive) and familiarity with international IP frameworks.
- Good understanding of AI regulation (EU AI Act), data governance, and GDPR as they relate to technology products and R&D; activities.
- Experience with corporate law matters is a valuable plus.
- Fluent Italian and excellent English (written and spoken); knowledge of additional languages is a plus.

What we offer We offer employment at the manager level with the relevant salary, in accordance with the CCNL ANIA for non-executive employees and the Generali Group Company Agreement.
Gross annual salary ranging between 56K€ and 70K€. The final offer will be aligned with the candidate’s professional experience, technical and soft skills relevant to the role, and may include an individual variable component.
