The Company's common shares are traded on the Toronto Stock Exchange and the NYSE under the symbol ‘ATS’. /ppAs a member of the Global Legal Team, the Legal Counsel will provide timely, pragmatic and business-oriented legal support to ATS Group's Italian entities, supporting the business in achieving its strategic objectives while appropriately managing legal and compliance risks. The successful candidate will work closely with internal stakeholders and external counsel on a broad range of commercial, corporate, compliance and operational legal matters. /ppThe role is intended to cover a maternity leave absence. /ph3bSPECIFIC RESPONSIBILITIES /b /h3pProvide legal support to internal clients across all aspects of business operations, including: /pullicommercial contracts; /lilicorporate governance; /liliregulatory compliance, including Legislative Decree 231/2001; /lilisupplier, customer and partner relationships; /lilidispute and litigation management; /lilileasing and real estate matters; /liliemployment-related legal matters. /liliDraft, review, negotiate and support the implementation of commercial agreements. /liliProvide practical legal advice to business functions to facilitate sound commercial decision-making. /liliPromote compliance with corporate policies, internal controls and contracting procedures. /liliIdentify, assess and mitigate legal and compliance risks. /liliCollaborate with key internal stakeholders, including General Management,
Human Resources, Finance and Operations. /liliSupport strategic projects, including corporate reorganizations, acquisitions and integrations, as required. /liliCoordinate and manage external legal counsel. /liliContribute to the continuous improvement of legal processes, templates and governance practices. /liliSupport the implementation and promotion of ethical business practices and compliance with the ATS Code of Business Conduct. /liliComply with all applicable health and safety requirements. /liliTravel may be required from time to time. /li /ulh3bQUALIFICATIONS /b /h3pEducation: /pulliDegree in Law obtained from an accredited Italian university. /liliItalian BAR qualification /li /ulpExperience: /pulliApproximately 9–12 years of post-qualification experience gained in reputable law firms and/or multinational companies. /liliSolid experience in commercial and corporate law. /liliSolid knowledge of Italian corporate governance, commercial contracts, compliance and Legislative Decree 231/2001, GDPR and data protection regulations. /liliStrong legal analysis and problem-solving skills. /liliExcellent drafting and contract negotiation capabilities. /liliAbility to manage multiple priorities in a dynamic international environment. /liliStrong business acumen and commercial judgment. /liliEffective stakeholder management and communication skills. /liliFluency in both Italian and English languages is a requirement. /liliKnowledge of international trade and export control regulations is desirable. /liliExperience supporting industrial, manufacturing or technology businesses is considered an asset. /li /ulh3ADDITIONAL INFORMATION /h3ulliEmployment Contract: Fixed-term employment contract for maternity leave replacement. /liliWorking Time: Full-time. /li /ul /p #J-18808-Ljbffr
