We are looking for an Executive Director Finance, Administration & Governance.
Summary Description The Executive Director Finance, Administration & Governance serves as a strategic partner to the leaders of the brands, verticals and businesses, providing financial leadership while ensuring the integrity of the Company's governance, administrative operations, and statutory compliance.
This executive is responsible for leading all financial planning, accounting, treasury, reporting, budgeting, tax coordination, and audit activities while overseeing corporate governance, legal entity administration, board support, regulatory compliance, risk management, and administrative operations.
The successful candidate will drive financial performance, support strategic growth initiatives, optimize business operations, and strengthen governance, planning, and risk management across the organization. The role requires a hands-on leader capable of translating financial insights into business decisions while maintaining rigorous oversight of financial planning, reporting, treasury, and operational efficiency.
Key Responsibilities
Strategic Financial Leadership
- Serve as the executive leader responsible for the financial health and performance of the Italian parent company and affiliated entities.
- Partner with the Head of Group Finance and the business leaders to develop and execute the organization's long-term financial strategy.Provide financial analysis and recommendations to support strategic investments, acquisitions, capital allocation, and growth initiatives.
- Develop financial models and scenario planning to support executive decision-making.
- Present financial performance, risks, and opportunities to executive leadership and shareholders.
- Manage relationships with investors and other key external financial stakeholders.
- Continuously improve financial planning, reporting processes, and decision-support systems to enhance business performance.
Financial Planning & Analysis
- Lead the annual budgeting process, forecasting, and long-range financial planning.
- Monitor financial performance against strategic objectives.
- Develop KPI dashboards and executive reporting.
- Analyze profitability, cash flow, and operating performance.
- Identify opportunities to improve financial efficiency and return on investment.
Accounting & Financial Reporting
- Oversee all accounting operations in accordance with Italian GAAP and IFRS, as applicable.
- Ensure accurate monthly, quarterly, and annual financial reporting.
- Coordinate year-end close processes.
- Lead relationships with external auditors and accounting advisors.
- Ensure strong internal financial controls and accounting policies.
Treasury & Cash Management
- Manage cash flow forecasting and liquidity planning.
- Oversee banking relationships.
- Optimize working capital management.
- Support financing activities and capital structure planning.
- Monitor foreign exchange exposure where applicable.
Tax & Compliance
- Coordinate with external tax advisors regarding corporate tax planning and compliance.
- Ensure timely completion of statutory tax filings.
- Support transfer pricing documentation where required.
- Oversee VAT compliance and reporting.
- Ensure compliance with Italian regulatory requirements.
Corporate Governance
- Lead corporate governance activities for the Italian parent company and affiliated entities.
- Coordinate Board of Directors meetings and shareholder meetings.
- Prepare governance documentation and corporate resolutions.
- Maintain corporate records and statutory books.
- Ensure compliance with corporate governance requirements under Italian law.
- Coordinate legal entity administration and corporate filings.
- Support the implementation of governance best practices across the organization.
Risk Management
- Identify financial, operational, and regulatory risks.
- Develop appropriate internal controls and mitigation strategies.
- Oversee corporate insurance programs.
- Monitor compliance with internal policies and external regulations.
- Support enterprise risk management initiatives.
Administration & Business Operations
- Provide leadership for administrative functions supporting the Italian organization.
- Develop scalable administrative processes and operating procedures.
- Oversee vendor contracts and key business service providers.
- Drive operational efficiencies through process improvement and technology.
Mergers, Acquisitions & Corporate Development
- Support financial due diligence for acquisitions and strategic investments.
- Assist with post-acquisition integration activities.
- Evaluate investment opportunities through financial analysis and business case development.
- Coordinate with legal, finance, and external advisors during transactions.
Leadership
- Build and develop a high-performing finance and administration team.
- Foster collaboration across finance, legal, HR, operations
- Promote accountability, continuous improvement, and strong financial stewardship.
Strategic Management & Corporate Governance
- Drive the execution of the Group's strategic plan, ensuring alignment between financial objectives and operational execution.
- Monitor business performance through financial and operational KPIs, identifying opportunities to enhance profitability, efficiency, and return on investment.
- Champion operational excellence through process optimization, cost discipline, and productivity enhancement.
- Provide financial and commercial analysis to support business development, strategic partnerships, and investment opportunities.
- Foster a high-performance culture by leading cross-functional teams with clear accountability and measurable results.
Knowledge and Experience
- Bachelor's degree in Finance, Accounting, Business Administration, Economics, or related field.
- Master's degree or MBA preferred.
- CPA, Chartered Accountant, or equivalent professional designation preferred.
- Proven experience in a senior management role such as General Manager, CFO, or Finance Director
- 10 years of progressive financial and business leadership experience.
- Experience serving as a senior finance executive within a multi-entity or international organization.
- Experience leading budgeting, forecasting, treasury, accounting, audit, and financial planning.
- Experience working with private equity, family-owned businesses, or holding company structures is preferred.
- Previous experience managing both operations and finance functions.
- Experience supporting mergers, acquisitions, and corporate growth initiatives.
Skills and Competencies
- Ability to combine strategic vision with operational execution.
- Excellent leadership, communication, and decision-making skills.
- Experience in fast-paced and growth-oriented environments is highly preferred.
- Fluent English and Italian required; additional languages are a plus.
- Experience with ERP systems and financial reporting tools.
- Strong stakeholder management and board-level presentation skills.
- Strong negotiation skills.
- Ability work under pressure and prioritize.
- Capable of maintaining confidentiality and handling sensitive information.
- Excellent communication skills and ability to communicate with all levels of the organization.
- Availability to manage priorities in a fast-paced, growth-oriented, and time-critical corporate environment.
