Domyn, a technology company specializing in Responsible AI for regulated industries, is seeking a Senior Legal Counsel to join their team in Milan. The role focuses on corporate governance, entity management, and providing strategic legal advice to senior leadership and the board.
Key Eligibility Criteria
- Education: Law degree from an accredited law school.
- Licensing: Mandatory Bar admission in Italy; US Bar admission is considered a plus.
- Experience: Minimum 7 years of relevant experience in a law firm or in-house environment.
- Skills: Expertise in Italian corporate law, governance, and technology law.
- Languages:
Fluency in English and Italian (written and spoken); proficiency in Chinese or Arabic is a plus.
Responsibilities & Scope of Work
- Advise on governance implications for M&A;, financing rounds, and organizational changes.
- Manage board and shareholder meetings, resolutions, and corporate approvals.
- Oversee entity management and corporate housekeeping.
- Draft, review, and negotiate commercial and corporate contracts.
- Support corporate compliance, risk management, and internal legal policy development.
Stipend, Compensation & Mode
Range: €60,000 – €85,000 per annum, supplemented by company equity and performance-based bonuses. Employment is governed by the CCNL Commercio agreement.
