We are hiring for one of our clients, seeking a full-time -based M&A; Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance.

Key Responsibilities

Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8‑K, and 10‑K.
Advise on corporate governance matters, including board and shareholder meeting documentation.
Conduct due diligence for M&A; transactions and securities offerings.
Liaise with external counsel, investment banks, and regulatory bodies as needed.
Required Skills & Qualifications

Licensed attorney in good standing with experience in securities law.
Minimum 5 years of experience in M&A; and corporate law, with SEC filing expertise.




Strong drafting and negotiation skills for transactional documents.
In-depth knowledge of corporate governance best practices and compliance.
Ability to manage multiple deadlines and high-pressure transactional environments.
