Role: M&A; Corporate Attorney (Remote)Location: Remote (Work from Anywhere)Role Overview:We are hiring for one of our clients, seeking a full-time -based M&A; Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance.Key Responsibilities:

Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.

Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8-K, and 10-K.

Advise on corporate governance matters, including board and shareholder meeting documentation.

Conduct due diligence for M&A; transactions and securities offerings.

Liaise with external counsel, investment banks, and regulatory bodies as needed.Required Skills & Qualifications:

Licensed attorney in good standing with experience in securities law.

Minimum 5 years of experience in M&A; and corporate law, with SEC filing expertise.

Strong drafting and negotiation skills for transactional documents.

In-depth knowledge of corporate governance best practices and compliance.
