ppWe are hiring for one of our clients, seeking a full-time -based MA Corporate Securities Attorney to oversee securities filings, corporate governance, and transactional compliance. /ph3Key Responsibilities /h3ulliDraft and review merger and acquisition agreements, disclosure documents, and proxy statements. /liliEnsure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8‑K, and 10‑K. /liliAdvise on corporate governance matters, including board and shareholder meeting documentation. /liliConduct due diligence for MA transactions and securities offerings. /liliLiaise with external counsel, investment banks, and regulatory bodies as needed. /li /ulh3Required Skills Qualifications /h3ulliLicensed attorney in good standing with experience in securities law. /liliMinimum 5 years of experience in MA and corporate law, with SEC filing expertise. /liliStrong drafting and negotiation skills for transactional documents.
