OpportunitàM&A; and Investments * Support the legal aspects of acquisitions, disposals, JV and strategic investments. * Manage legal due diligence processes and coordinate external counsel. * Draft,reviewandnegotiatetransactiondocumentation,including: o NDAs o LOIs o Share Purchase Agreements (SPA) o Shareholders' Agreements (SHA) o Investment Agreements o JV Agreements * Assist transaction teams throughout deal execution and closing. Corporate Governance * Provide legal support on governance matters for portfolio companies and investment vehicles. * Prepare and review corporate documentation, board resolutions and shareholders' resolutions.
* Support directors and senior management on corporate law matters. Commercial & Project Development * Draft and negotiate a wide range of commercial contracts. * Support the development and operation of infrastructure and energy projects. * Advise on EPC, O&M;, development, framework and service agreements where relevant. * Assist business teams in structuring strategic partnerships and commercial arrangements. Regulatory and Risk Management * Monitor legal and regulatory developments affecting infrastructure, energy and digital assets. * Identify legal risks and propose practical mitigation measures. * Ensure legal compliance across projects and investments.
