Independent French leader in financial transaction execution services, Aether was founded in 2015 by Edouard Narboux and Henri-Pierre Jeancard, two former investment bankers.Based in Paris, London, Milan and Madrid, Aether is made up of amulticultural team of over 60 people, experts in 4 business lines:AgencyservicesAether operates in the private debt and capital markets, covering all agency roles: loan agent, bond agent, administrative agent,calculation agent, paying agent, security agent, etc.Valuation & calculationAether Financial Services provides independent valuations of all types of financial instruments and securities, from the most vanilla to themost highly structured products for recurring, specific or one-off needs.Corporate and Issuer ServicesAether offers a set of constantly evolving value-added services dedicated to managing the life of financial transactions based on proprietary digital solutions “VOX AEQUITAS” (capital increase or subscription,general meeting, registrar, record keeping, management package implementation,etc.).Asset Management ServicesAetheroffers a comprehensive range of services for asset managers, covering theadministration of funds and securitisation vehicles, governance, reporting,risk management, regulatory compliance and the operational monitoring ofinvestments.JOBDESCRIPTIONTo support its growth and strengthen itsin-house legal team, Aether is seeking a Legal Counsel with 2 to 3 years’experience to join its Milan office on a permanent contract.Working closely with the operational teams, youwill handle the legal issues that arise during the set‑up and throughout thelife of the financial transactions in which Aether acts as agent.Your main responsibilities will include:- Managing the day-to-day legal affairs of Aether’s operations, liaising with internal stakeholders (operational teams, management) and external parties (banks, law firms, investors,



clients); - Reviewing, analysing, drafting and negotiating financing and security documents for transactions in which Aether Financial Services acts as agent; - Managing and monitoring the processes for general meetings of holders of financial instruments; - Contributing to legal and regulatory analysis of Aether’ activities, monitoring developments in these areas and reporting findings and identified issues to your line manager; - Handling corporate matters for Aether Financial Services, including company secretarial work; - Taking part in cross-functional projects across the company.These responsibilities may evolve as Aether’s activities develop.YOUR PROFILEExpertise- AMaster’s degree in banking and/or financial law; - Atleast 2 years’ experience in specialist law firms (LBO, infrastructure orstructured finance, capital markets), banks (agency), advisory firms (corporatefinance, debt advisory) or investment firms (debt funds); - Proficiencyin Word, Excel and PowerPoint; - Anyadditional languagewould be an advantage.Interpersonalskills- Proactive,independent and able to take the initiative; - Strongclient-relationship skills; - Discretionand respect for confidentiality; - Across-functional approach; - Diligenceand curiosity;- Teamspirit.WHY JOIN US?In a company with high potential, you will join a dynamic,client-focused team.
